Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Call Milly platform, including our AI-powered candidate outreach services, APIs, and related tools (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

Call Milly is a trading style of Omnis Holdings Limited, a company registered in England and Wales under company number 16296282, with registered address at 124-128 City Road, London, EC1V 2NX (“we”, “us”, “our”).

2. Eligibility

The Service is intended for use by recruitment agencies, staffing companies, and employers operating in the United Kingdom. You must be at least 18 years old and have the authority to bind your organisation to these Terms. By using the Service, you represent and warrant that you meet these requirements.

3. Your Account

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at support@callmilly.com if you become aware of any unauthorised use of your account or any other breach of security.

4. The Service

Call Milly provides AI-powered voice, SMS, and WhatsApp outreach tools designed for candidate engagement in recruitment. The Service may include automated calling, messaging, warm transfer capabilities, and related analytics.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of any material changes that affect your use of the Service.

5. Your Responsibilities

You agree to:

  • Use the Service only for lawful recruitment purposes and in compliance with all applicable laws, including GDPR, the Data Protection Act 2018, and PECR.
  • Ensure you have a lawful basis for contacting candidates through the Service.
  • Maintain accurate and up-to-date candidate data, including honouring opt-out requests promptly.
  • Not use the Service to contact individuals who have opted out of communications from your organisation.
  • Not use the Service for any purpose other than legitimate recruitment and staffing activities.
  • Not attempt to reverse-engineer, decompile, or otherwise access the underlying technology of the Service.

6. Fees and Payment

Fees for the Service are set out on our pricing page and in your order form. All fees are quoted in pounds sterling and are exclusive of VAT unless otherwise stated.

We bill monthly or annually, depending on your plan. Payment is due on the date specified in your invoice. We reserve the right to suspend your account if payment is more than 14 days overdue.

7. Intellectual Property

All intellectual property rights in the Service, including software, algorithms, designs, and documentation, belong to us or our licensors. Your use of the Service does not transfer any ownership rights. You retain ownership of your candidate data and content uploaded to the Service.

8. Data Protection

We process personal data in accordance with our Privacy Policy and, where applicable, our Data Processing Agreement (DPA). You are the data controller for candidate data processed through the Service, and we act as your data processor. Both parties agree to comply with applicable data protection legislation.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

10. Termination

Either party may terminate these Terms by providing 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases and we will delete your data in accordance with our data retention policy, unless we are required by law to retain it.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
